BY - LAWS
This association will be called as OVERSEAS RECTUIYING AGENTS ASSOCIATION.
This association is a voluntary organisation.
1. The registered Office of this association is C/o. RAZZAK ENTERPRISES, Office No.87, 1st floor, Madina Toweres, Dewan Devdi, Hyderabad - 500 002.
2. The general members of this Association will be the organizers or any agents or such Committee, who is working for providing services to the OVERSEAS RECRUITING AGENTS.
3. The present founder committee will be the registration committee of this association.
4. The committee term will be one year and if any member of executive committee wants to be removed or resign, it is the discreationary powers of executive committee and on majority decision of founder committee.
5. The members who join the Association will have to pay Enrollment fee for one year and on renewal the membership will be continued for next year and the association is entitled to collect annual fee.
6. The Bank account shall be opened in the name of association and the President, General Secretary an Treasureer will be the signatories and on cheque either of two members out of above three shall sign.
7. Every year March ending will be the accounting year.
8. Committee shall convene the meeting of Executive body atleast once in a month and general body meeting once a year.
9. The Association main Object is to protect th rights and interests of the Registered Recruiting Agents and also the Emigrants.
10. The Executive committee is empowered to amend the Bye-Laws as and when necessary.
11. The Association can start a new I.T.I. or take on lease an existing I.T.I. in any part of Andhra Pradesh.
12. Association can open an Office in any country abroad for the welfare of the Emigrants.
13. Association can depute any office bearer or bearers to go abroad to liaison with various Companies and ger recuitment business.
14. Association can invite representative/s of various Foreign companies to Hyderabad for getting recruitment business.
PRELIMINARY
1. Provisions contained Societies Registration Act 1960 and A.P Societies Regisration Act. 1960 shall apply in so far as they are applicable to this association and not inconsistent with any of the provisions contained in theses bye-laws.
EXTENT OF INTERPRETATION
2. In these Bye-laws the following words and expressions shall have the following meaning unless ther be some thing in the subject or context inconsistent herewith:
(a) The Association means OVERSEAS RECRUITING AGENTS ASSOCIATION.
(b) These by-laws means by-laws of the association as originally framed or as from time to time altered.
(c) Memorandum of Association means memorandum of the association as originally framed or as from time to time altered.
(d) 'Office' means the registered office for the time being of the association.
(e) 'Month' means the English Calendar Month.
(f) Year and Financial Year. Year means the calendar year and Financial year means the period in respect of which the accounts of the association laid before it in annual general meeting is made, whether that period is a year or not.
(g) 'Member' means member for the time being of the association who is a major and holding a Registration Certificate issued by the Ministry of Overseas Indian Affairs, Govt. of India, New Delhi.
(h) 'President' means President for the time being of the association.
(i) 'Vice President' means Vice President for the time being of the association.
(j) 'Secretary' means Secretary for the time being of the association.
(k) 'Joint Secretary' means Joint Secretary for the time being of the association.
(l) 'Treasurer' means Treasurer for the time being of the association.
(m) 'Advisor' means and include those person appointed as such for the time being of the association.
(n) 'Comittee Member' means a member for the time being of the Managing Committee of the association.
(o) Managing Committee or Committee' means managing committee of the association.
(p) 'General Meeting' means a meeting of the members of the association.
(q) 'Auditors' means and include those persons appointed as such for the time being of the association.
(r) Register means the register of members of the association.
(s) 'In writing and written' include printing lithgraphy and other modes of representing or reproducing words in a visible from.
(t) Words importing the singular number include plural member and Vice versa and words importing masculine gender and vice versa.
(u) Words importing persons include firms, corporations and other bodies.
MEMBERSHIP :
3. The membership of the association shall be open to any person who has completed 18 years of age and who is of sound mind, irrespective of sate, religion or creed, race or class but subject to what is in there by-laws provided and holder of a Valid 'Registration Certificate' issued by the Ministry of Overseas Indian Affairs, Govt. of India, New Delhi.
4. A person desirous of becoming member shall apply to the Secretary in then form of application prescribed by the Managing Committee.
5. The Managing Committee shall have the absolute discreation to accept or reject any application for membership without assigning any reason for refusal or acceptance. If any application is refused, the amount paid along with the application shall be refunded to him forthwith.
6. The person whose application for membership is accepted will be deemed to be a member from the date the application is accepted and such person will bound by these by-laws as may be ameded for time to time.
7. If a member's subsription remains in arrears and is not paid within a month from the date of issue of notice in writing requestingpayment, such defualting member shall cease to be a member who ceases to be member of the association may be readmitted on payment of all the arrears along with fine as may be determined by the Managing committee.
8. Any member sesirous of resigning from the association shall give notice in writing to that effect at least fifteen days before the close of the financial year. The registration shall operate from the commencement of the next financial year.
9. EXPULSION : A member accused or suspected of misconduct or conduct subversive of the objects of the association or detrimental to its interest or repute for the services rendered, shall be given by the managing committee an opportunity to explain his conduct and if after an enquiry by the committee, he is found guilty, then upon a resolution being so passed by the General Body, he shall be removed from the membership register. Pending decision of the general Body on any such reference by the committee, the Committee shall have power to suspend a member from exercising his rights and privilages.
NOTICES
10. Eash member shall be communicated from time to time by the Secretary to the address to which notices to him may be sent, and all notices sent to such address will be considered as duly delivered.
ADMINISTRATION
11. The general body of the association will consist of all the members on the roll.
12. The managing committee of the association shall consist of
(a) President
(b) Vice President
(c) Secretary
(d) One Joint Secretary
(e) Treasurer
(f) Two ordinary elected members.
The General Body shall have power to change the constitution of the Managing Committee.
13. All the members of the committee will be elected by the general body at the annual general meeting.
14. The elections of the said members shall be held under the supervision and direction of President the meeting, and all questions rising in connection therewith shall be decided by him.
15. Members proposed fro election to the managing committee at the annual general meeting should have been members of the association for a continuous period of atleast two months before the date of the meeting of general body and should have paid their subscriptions upto date.
16. It will be the duty of the outgoing Secretary to convene the first meeting of the new Managing committee within 14 days of the general meeting electing the said committee.
17. The Managing committee members shall elect the President and other officers bearers amongst them at the first meeting. The committee so elected shall hold office till another committee has been duly elected by the general body.
18. The President shall preside at all committee and general meetings. In the asence of the Preseident, the Vice President, and in his absence any member lected by the members present at the meeting will be entitled to preside at all committee and general meeting of the association.
19. Without prejudice to the generality of th powers of the Committee above mentioned, the Committee shall have the following powers and authority:-
(a) To do all activities for carrying out the objects of the association.
(b) To do all acts and things as are thought fit and proper by the committee to carry out the objects of the association.
(c) To enter into any contracts or agreements with any person or company or body or persons for the purpose of carrying out any of the objects or activities of the association or in connection with in properties or affairs of the association.
(d) To execute any documents to be executed by or in favour of the association.
(e) To take any legal proceedings required to be taken in the interest of the association or its members or to defend any legal proceedings taken against the association or its members and for this purpose to authorize Presidenr or Secretary of the committee to sign and file plaints, written statements, affidavits, peritions and other papers or documents as may be required to be signed and filed in any Court of Law or other Judicial or any statutoty authority.
(f) To maintain regular accounts and prepare balance sheer, income and expenditure account and receipt and payment account of each year and to get the accounts audited by the auditors.
(g) To appoint any member, clerks or other personnel and to fix and pay their salaries and to remove them as and when required.
(h) To control and manage all the funds and properties of the association and create reseve funds, sinking funds and such other funds as the committee may think fit an proper.
(i) To open and operate Current Account with any nationalized bank, and to withdraw money from such account or accounts and to make and draw, co-accept, endorse, execute, discount or negotiate and issue cheque/s.
20. The managing committee shall meet at least once in a month or often, if necessary on being summoned by the President or by the Secretary.
21. Seven days prior notice of the meeting shall be given to all members of the committee. However the President and Secretary shall have the power to convene a meeting at shorter notice.
22. The Quorum for the committeee meeting shall be 2/3rd members presnet in person.
23. Every matter before the committee shall be decided by a majority of the votes of the members present and decided by a majority, the member presiding shall have a second or casting vote in case of an equality of votes.
24. The business of the committee may also be transacted by circulation of papers. Any decision obtained on a circular will be placed before the next meeting of the Committee.
25. It will be the duty of the treasurer to keep Accounts of all receipts and disbursements up to date, to collect the dues of the Association and duly account for all monies received and to credit the same to the Association's Account in such bank or banks as the committee may direct. It shall further be the duty of the Treasurer to case to be prepared and to lay before the committee at tits meeting the following statements:-
(a) Account of receipts and payments during the previous months.
(b) A list of subscriptions overdue.
(c) The bank statements and pay in slips duly filled up.
The President of the meeting will duly check and countersign such statements.
26. All books, files, records, etc., shall be the property of the association and will be kept as a record.
BANK ACCOUNT
27. Tha banking account or accounts of the association will stand in the of the association.
28. All cheques and other instruments drawn on behalf of the association will be signed by any two of the following :-
(a) President
(b) Secretary
(c) Treasurer
GENERAL MEETING
29. The annual general meeting of the association shall be held within three months of the end of the financial year of the Association.
30. The following business shall be transacted at such general meeting :-
(a) Adoption of minutes of the proceedings of the previous meeting.
(b) Adoption of the report of the committee for the proceeding financial year.
(c) Consideration and adoption of the audited accounts for the proceeding financial year.
(d) Election of committee members and auditors.
(e) Consideration and adoption of the budget for the ensuing financial year.
(f) Any other business specified in the agenda of the meeting of which notice has been received from any member not later that 7 days before the days of the meeting.
31. At any general meeting, whether annual or special, the President or in his absence Vice President or in his absence any member elected at the meeting from among those present, shall preside and shall have a casting or second vote. The member who takes the Chair at such meeting shall continue to preside till the end of the meeting despite the election of a new President for the ensuring period.
32. The Quorum for a general meeting, annual or special shall be one sixth of the members on the register of the association.
33. Every member shall be entitled to nominate any other person as his representative to attend and vote at the meeting, such nomination containing the name and address of the person nominated shall be delivered to the Secretary at least 3 days before the meeting.
ALTERNATION OF THE BY-LAWS
34. No new rules or alteration in the rules of the association shall be made unless notice thereof has been given to the members at least 4 days before the meeting and unless it has been carried by a majority of not less than two thirds of th members present at any meeting of the genreal body.
ACCOUNTS & AUDIT
35. The accounts of the association shall be audited every year by a Charted Accountant or Firm of Charted Accountatnts appointed by the general body at the Annual General Meetin, the auditors report, together with the remarks if any of the Managing committee thereon shall be placed the next Annual General Meeting.
JURISDICATION
36. The OVERSEAS RECUITING AGENTS ASSOCIATION entire State of Andhra Pradesh.
37. These by-laws shall come into force and operation with effect from that date of the general meeting at which they are considred and passed.
